Digi Admyzer shall not be held responsible for any errors, delays, or service disruptions arising from inaccurate or incomplete information provided by the client. Any changes to client information must be communicated to us promptly in writing.

All payments for services rendered by Digi Admyzer are governed by the following terms:

• Payment terms, amounts, and schedules will be specified in the individual service agreement or invoice
• A deposit or advance payment may be required before the commencement of any project
• All invoices are payable within the timeframe specified on the invoice unless otherwise agreed in writing
• Late payments may attract additional charges or result in a temporary suspension of services
• All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise
• Applicable taxes (GST) will be added to all invoices as per current Indian tax regulations
• Digi Admyzer reserves the right to revise pricing with advance notice to existing clients

Project timelines and delivery schedules will be mutually agreed upon at the time of project initiation. Digi Admyzer is committed to delivering services within the agreed timeframe, subject to the following:

• Timelines are dependent on timely receipt of required information, assets, and approvals from the client
• Any delay caused by the client in providing necessary inputs may result in a corresponding extension of the project timeline
• Digi Admyzer will communicate proactively in the event of any internal delays affecting project delivery
• Additional revision requests or scope changes may impact agreed timelines and may be subject to additional charges

Upon full payment of all agreed fees, the client will own the intellectual property rights to the specific deliverables created exclusively for them, unless otherwise agreed in writing. The following terms apply:

• Digi Admyzer retains ownership of all proprietary tools, methodologies, frameworks, and processes used in delivering services
• Pre-existing intellectual property of Digi Admyzer shall remain the exclusive property of Digi Admyzer
• The client grants Digi Admyzer a non-exclusive license to use client-provided brand assets solely for the purpose of delivering the contracted services
• Digi Admyzer reserves the right to include completed work in its portfolio unless the client explicitly requests confidentiality in writing
• Third-party tools, stock assets, or licensed content used in projects will be governed by their respective licensing terms

Users of the Digi Admyzer website agree not to:

• Copy, reproduce, distribute, or republish any content from this website without prior written permission
• Attempt to gain unauthorized access to any part of our website, server, or associated databases
• Use automated tools, bots, or scrapers to extract data from our website
• Upload or transmit malicious code, viruses, or any harmful content through our website

Digi Admyzer utilizes a range of third-party tools, software, and platforms to deliver its services, including Google Ads, Meta (Facebook/Instagram), LinkedIn, various SEO tools, website builders, and analytics platforms.

Clients acknowledge that:

• Third-party platforms have their own terms of service, which clients must comply with independently
• Digi Admyzer is not responsible for changes, outages, or policy updates made by third-party platforms
• Performance of advertising campaigns on third-party platforms is subject to platform algorithms and external factors beyond our control
• Any ad spend on third-party platforms is separate from Digi Admyzer's service fees unless explicitly bundled in a package

Both parties agree to maintain strict confidentiality regarding all proprietary business information, trade secrets, marketing strategies, client data, and any other sensitive information shared during the course of the engagement.

Digi Admyzer will not disclose client information to third parties without explicit written consent, except where required by law or necessary to deliver contracted services. Clients are similarly expected to maintain confidentiality regarding Digi Admyzer's proprietary processes and methodologies.

To the maximum extent permitted by applicable law, Digi Admyzer shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Loss of revenue, profits, or business opportunities as a result of service outcomes
• Results of digital marketing campaigns that do not meet client expectations due to external market factors
• Any losses arising from reliance on information provided on our website
• Disruptions caused by third-party platform changes, outages, or policy updates

Digi Admyzer provides its website and services on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that:

• Our services will meet all your specific business requirements in every case
• Specific results, rankings, or revenue outcomes will be guaranteed from digital marketing services
• Our website will be uninterrupted, error-free, or free from viruses or other harmful components

While we strive to deliver excellent results, the nature of digital marketing involves external variables including search engine algorithms, platform policies, and market competition that are beyond our direct control.

Digi Admyzer reserves the right to modify, update, suspend, or discontinue any of its services at any time with reasonable prior notice to affected clients. Modifications to ongoing service agreements require mutual written consent from both parties.

We also reserve the right to update our website content, service offerings, pricing, and these Terms & Conditions at any time. Clients and website visitors are encouraged to review these terms periodically.

Digi Admyzer follows a transparent cancellation and refund policy:

• Cancellation requests must be submitted in writing with a minimum notice period as specified in the project agreement
• Advance payments or deposits made prior to project commencement may be non-refundable depending on the stage of work already completed
• Work completed and delivered up to the point of cancellation will be billed accordingly
• Refunds, if applicable, will be processed within 15–30 business days from the date of approval
• No refunds will be issued for completed and delivered work that has been approved by the client
• Ad spend amounts paid to third-party platforms are non-refundable by Digi Admyzer and are subject to the respective platform's refund policies

Either party may terminate the service agreement as outlined in the individual project contract. Digi Admyzer reserves the right to terminate services immediately without notice in cases of:

• Non-payment of outstanding dues despite reminders
• Violation of these Terms & Conditions or the project agreement
• Fraudulent, abusive, or unethical conduct by the client
• Requests to engage in illegal or harmful marketing activities

Upon termination, all pending payments become immediately due. Access to accounts, reports, and campaign materials will be provided as per the terms of the project agreement.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Meerut, Uttar Pradesh, India.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms & Conditions or our services, both parties agree to first attempt resolution through good-faith negotiation and discussion.

If the dispute cannot be resolved informally within 30 days, the parties may pursue mediation or arbitration as an alternative to litigation, as mutually agreed. Legal proceedings, if necessary, will be conducted in the appropriate courts in Meerut, Uttar Pradesh.
